These Terms of Use govern your use of www.premaragroup.com (the "Site"), operated by Premara Group ("Premara Group," "we," "us," or "our"). By using the Site, you agree to these terms. If you do not agree, please do not use the Site.

About Premara Group

Premara Group provides mergers and acquisitions advisory services to owners of privately held businesses and to buyers seeking to acquire them. Premara Group is not registered with the U.S. Securities and Exchange Commission (SEC) as a broker-dealer, is not a member of FINRA or SIPC, and is not a registered investment adviser.

Premara Group conducts its M&A advisory activities in reliance on the SEC staff's "M&A Brokers" no-action letter (January 31, 2014, as revised February 4, 2014). Consistent with that guidance, in connection with any M&A transaction, Premara Group:

  • Advises only on transactions in which ownership and control of a privately held company is transferred to a buyer that will control and actively operate the company after closing
  • Does not participate in public offerings, and does not facilitate transactions involving shell companies or securities registered, or required to be registered, with the SEC
  • Does not have authority to bind any party to a transaction
  • Does not take custody, control, or possession of, or otherwise handle, funds or securities issued or exchanged in a transaction
  • Does not, directly or through any affiliate, provide financing for a transaction
  • Does not form groups of buyers, and works with a group of buyers only if the group was formed without our assistance
  • Represents both the buyer and the seller in the same transaction only after clear written disclosure to, and with the written consent of, both parties

The terms of any engagement, including our compensation, which may include fees payable upon completion of a transaction, are set out in a written engagement agreement.

Financing introductions

Where we help a client pursue debt financing, our role is limited to advising the client and introducing it to unaffiliated lenders, such as banks, family offices, and private credit funds. Premara Group is not a lender and does not provide financing. Any lending decision is made solely by the lender. If we receive compensation in connection with a financing, we disclose it to our client in writing.

Informational purposes only

The content on the Site is provided for general informational purposes only. It is not legal, tax, accounting, investment, or financial advice, and you should not rely on it as such. You should consult your own professional advisors before making any decision about your business.

No offer of securities

Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security, business, or interest in any business. The Site is not intended for use in connection with any securities offering, and Premara Group does not solicit investors for, or participate in, offerings of securities.

No advisory relationship

Using the Site, contacting us, or submitting information through the Site does not create a client, advisory, or fiduciary relationship with Premara Group. A client relationship begins only when both parties sign a written engagement agreement.

Confidentiality of submissions

Please do not send confidential or sensitive information through the Site's contact form. Information submitted before an engagement agreement or confidentiality agreement is in place is not treated as confidential, although we handle it as described in our Privacy Policy.

Past transactions and testimonials

Transactions shown on the Site are examples of past engagements. Testimonials reflect the experiences of the specific clients quoted and may not be representative of the experience of other clients. Past results do not guarantee similar outcomes in any future transaction.

Third-party trademarks

Company names and logos shown on the Site belong to their respective owners and are displayed to identify transactions in which Premara Group participated. Their display does not imply endorsement of Premara Group by those companies beyond what is stated.

Intellectual property

The Site's content, design, text, graphics, and logos are owned by or licensed to Premara Group and are protected by intellectual property laws. You may view and print pages for your personal, non-commercial use. Any other use requires our written permission.

The Site may link to third-party websites. We are not responsible for their content, policies, or practices.

Disclaimer of warranties

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

Limitation of liability

To the fullest extent permitted by law, Premara Group and its partners, employees, and advisors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of or inability to use the Site.

Governing law

These terms are governed by the laws of the State of Utah, without regard to its conflict of law rules. Any dispute relating to the Site will be resolved in the state or federal courts located in Utah County, Utah.

Changes to these terms

We may update these terms from time to time by posting a revised version on this page. Your continued use of the Site after changes are posted means you accept the updated terms.
